Terms & Conditions
Last updated: September 2026
These Terms & Conditions (“Terms”) apply to the managed IT services, consultancy, project work and Technology Store supplies provided by Star IT Systems (“we”, “us”) to business customers (“you”). Each engagement is also governed by an agreed proposal, statement of work or services agreement (an “Order”). If an Order conflicts with these Terms, the Order takes precedence. Use of this website itself is covered by our Website Terms.
1. Quotations and Orders
Quotations are based on the information available at the time and are valid for the period stated on them. Prices may change if requirements, scope or third-party costs change. A contract is formed only when an Order has been accepted in writing by both parties. Technology Store orders paid online are accepted when we email you confirmation of your payment; if an item then proves to be unavailable, we will tell you promptly and refund you in full. Quote requests made through the Technology Store are not binding until we confirm stock, price, delivery and payment with you.
2. Services
We will provide the services described in the Order with reasonable skill and care, using suitably qualified personnel. Any service levels, support hours or response targets apply only where stated in the Order. Work outside the agreed scope is chargeable and will be agreed with you beforehand wherever practicable.
3. Your Responsibilities
- Provide accurate information, timely decisions and reasonable access to your premises, systems and people.
- Maintain valid licences for third-party software and cloud services used in your environment, unless we supply them under the Order.
- Keep backups of your data unless backup services are included in the Order.
- Follow reasonable security advice and tell us promptly about any suspected security incident.
4. Fees and Payment
Fees are as set out in the Order and are exclusive of VAT unless stated otherwise. Recurring services are invoiced in advance and project or time-based work as agreed. Invoices are payable within the period stated in the Order. We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend services if undisputed invoices remain unpaid after reasonable notice.
Technology Store prices are shown including VAT and are paid in full at checkout, unless you ask for a quote or an invoice instead. Online card, Apple Pay and Google Pay payments are processed securely by Stripe. We never see or store your full card details.
5. Hardware and Technology Store Supplies
Risk in goods passes to you on delivery, and ownership passes once full payment has been received. Manufacturer warranties apply to hardware and are passed on to you where possible. Returns are handled under our Returns & Refunds policy.
6. Term and Termination
Each Order runs for the term stated in it. Either party may terminate an Order by written notice if the other commits a material breach that is not remedied within 30 days of notice, or becomes insolvent. On termination, you will pay for services provided up to the termination date, and we will provide reasonable assistance to hand over your systems and data, which may be chargeable.
7. Data Protection and Confidentiality
Each party will comply with UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf, we do so as your processor under a data processing agreement. See our UK GDPR & Data Protection page. Each party will keep the other's confidential information confidential and use it only to perform the Order.
8. Intellectual Property
You retain ownership of your data and pre-existing materials. We retain ownership of our tools, methods and know-how. On full payment, you receive a licence to use deliverables created for you under the Order for your internal business purposes.
9. Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited. Subject to that, we are not liable for loss of profits, revenue, business or goodwill, or for indirect or consequential loss, and our total liability under each Order is limited as set out in that Order.
10. Events Outside Our Control
Neither party is liable for delay or failure caused by events beyond its reasonable control, such as widespread outages of third-party cloud providers, utility failures or supplier shortages.
11. General
These Terms and any Order are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Changes to an Order must be agreed in writing.
